Terms & Conditions.
Welcome to Wood n More. These Terms & Conditions apply to every quotation, order and delivery between Wood n More and its business customers. We've tried to keep them clear and fair to both sides: they set out what you can expect from us and what we ask of you. By placing an order you accept these terms. Where the law gives our trade customers stronger rights, the law always comes first. All prices are in euros and exclusive of VAT unless we say otherwise.
1. Who we are and who we sell to
Wood n More (Woodnmore B.V.) is a wholesaler of solid-wood furniture, with specialist expertise in mango and acacia, based on the Oerseweg in Ulft, the Netherlands, and supplying business customers in the Netherlands, Belgium and Germany. We sell to the trade only, furniture retailers, interior designers and stylists, project furnishers, online retailers and webshops (e-commerce sellers), and hospitality (HORECA) businesses that resell or professionally use our products. We do not sell to private consumers. Keeping it trade-only is what lets us hold wholesale pricing and protect the dealers we work with.
2. Becoming a customer
To order, you first register a business account and we confirm your details, including a valid VAT or company registration number. We may approve, decline or set conditions on any account at our own discretion. One reason we might: because we want every dealer we work with to do well, we sometimes look after a partner who is already active in your immediate area. If that ever affects your application, we'll explain it to you personally and do our best to find a way forward together. Account approval doesn't create any obligation to supply a particular quantity, or to grant exclusivity, unless we agree that separately in writing.
3. Quotations, orders and minimum order
Quotations. Quotations are valid for 14 days unless stated otherwise, and are not binding until we confirm your order.
Order confirmation. An agreement is formed when we confirm your order in writing — by email or through the webshop.
Minimum order — and how it differs from free delivery. A minimum order value of €250 (ex VAT) applies to any delivery. This isn't the free-delivery threshold; it's simply the smallest order we can pack and ship sensibly. Free delivery starts higher up, at the regional thresholds in clause 6, and between €250 and that threshold a modest per-pallet contribution applies. Smaller, parcel-sized pieces — think a coffee table or a side table — can travel by parcel for a flat €12.99. Orders below €250 are always welcome for collection in Ulft.
Container & bulk orders. You can also order by the full container at bulk wholesale prices — often the most economical way to buy, because everyone saves on delivery and handling costs. You're free to mix items to reach the minimum order quantity, choose your finish, and choose your designs. Most container orders are priced FOB (Free On Board), which means the price covers the goods but excludes onward transport and delivery to you. And even where we do agree a transport price with you, that price stays dependent on the actual sea-freight rates at the time of shipping. Those rates can move for reasons outside anyone's control — carrier surcharges, fuel, capacity or other external disruptions — and if they do, we reserve the right to pass on the difference, always talking it through with you first. Container freight is quoted individually, and the delivery thresholds in clause 6 don't apply to full-container loads.
Stock. Stock availability shown online is indicative. If an item sells out after your order, we'll tell you the expected restock date and you can wait, amend or cancel the affected line.
4. Prices and VAT
Prices are wholesale, in euros and exclusive of VAT, packaging and delivery unless stated. We may adjust prices for new orders at any time; the price confirmed on your order applies to that order. Obvious errors or typing mistakes do not bind us.
5. Payment
To keep Wood n More protected while we build a trading history with each new account, we start conservatively and extend terms as trust is earned:
First order — prepaid. Your first order is paid in full before dispatch (bank transfer or online payment). Orders for delivery outside the Netherlands are also prepaid until a payment history is established.
Established accounts. After a clean first payment we may offer a short payment term of 8 to 14 days from invoice, at our discretion and up to a credit limit we set.
Late payment. If an invoice is overdue we may suspend deliveries, charge statutory commercial interest and reasonable collection costs, and revert the account to prepaid.
Retention of title. All goods remain our property until they are paid for in full. Until then you may not pledge them as security, and we may reclaim unpaid goods.
6. Delivery, pick-up and free-delivery thresholds
You can collect your order or have it delivered. Delivery is built around fixed regional route days, so loads travel together, that's what keeps our prices keen and our service reliable.
Pick up from our warehouse in Ulft by appointment and take 2% off the order. We let you know as soon as it's ready. Collection is an easy trip for our German border customers too.
Furniture is delivered on our regional route days. Order before Wednesday 12:00 to join that week's run. All delivery and pallet charges are ex VAT. Free delivery applies above the order value for your region; below it, a per-pallet contribution applies:
| Region | Free delivery from | Below that | Pick-up in Ulft |
|---|---|---|---|
| Netherlands | €1,000 | €65 / pallet | Free, +2% |
| Germany — NRW border zone | €1,500 | €85 / pallet | Free, +2% |
| Belgium — North (Flanders, Brussels, Liège) | €1,500 | €85 / pallet | Free, +2% |
| Germany — outside NRW | Contact us | Contact us | Free, +2% |
| Belgium — South (Wallonia) | Contact us | Contact us | Free, +2% |
Not in a served zone yet? For Germany outside the NRW border zone and for southern Belgium (Wallonia), just contact us, we'll quote your delivery individually and can often still help, especially closer to the border. All prices are ex VAT and reviewed from time to time.
Minimum order €250 ex VAT for any delivery. Small, parcel-sized items such as a coffee table or side table can be sent by parcel for a flat €12.99 (ex VAT). The minimum-order value and the free/paid delivery thresholds apply to regular catalogue items only, customised pieces and extra-large items sit outside them, and we reserve the right to charge additional delivery costs for those, always agreed with you in advance. Thresholds and fees are reviewed periodically and may change for new orders.
In stock. In-stock items are dispatched on the next route day and typically arrive in 10–12 working days (Netherlands) or 12–14 working days (served zones in Belgium and the German NRW border). Destinations we quote individually follow the date we confirm with you.
Pre-order / from our factories. Made-to-order and replenishment items show an expected arrival on the product page. These dates are estimates given in good faith, and external factors — sea-freight and container schedules, customs, weather or factory timing — can push them out. We ask for your understanding here: such delays are outside our control and do not bind us in any way, and a delay does not entitle you to cancel unless we confirm a firm date and then materially miss it.
Risk. Risk passes on delivery, or on collection when you pick up. Please check the goods on arrival (clause 8).
For larger orders we may invite you to schedule a delivery appointment that suits you. As our volumes grow we plan to add options such as a priority/express tier and more frequent route days; we offer these only when we can do them reliably, and we'd rather under-promise and deliver than the reverse.
7. Dropshipping and white-label (on request, phased)
We're building a dropshipping service so approved dealers can have orders shipped directly to their own customers under a neutral, white-label label. During roll-out this is available on request and by prior written agreement, for selected in-stock items and regions, and is governed by the following rules:
Pricing — not free. Our standard regional delivery thresholds and fees apply, plus a small per-order handling fee for picking, neutral packing and labelling. The applicable amount is confirmed when we set up the service for you.
White-label. Orders ship under a neutral label with no Wood n More branding, paperwork or pricing, so your customer sees only you.
Payment. The dealer remains responsible for payment to Wood n More in full, regardless of whether their own customer has paid.
Delivery scope — first door only. Where we dropship, we deliver to the first door of the delivery address only, and our responsibility ends at that point. Carrying inside, upper floors, stairs and final placement are the end customer's own arrangement.
Returns. Wood n More does not accept returns from, or deal directly with, your end customer. You own the customer relationship and any change-of-mind return. We handle only genuine transport damage or product faults, reported within 5 working days with photos (clause 8).
Roll-out. Coverage and the product range expand region by region as the service proves reliable; we'd rather start small and dependable than over-promise.
8. Inspection, damage and claims
Please inspect every delivery on arrival. Report any visible damage, shortage or wrong item within 5 working days by email to service@woodnmore.eu, with three clear photos, the sticker/label on the box, a zoomed-out photo of the whole item, and a close-up of the defect, together with the product number and, where possible, a note on the delivery receipt. Please keep the original packaging intact, as it forms part of the proof. We photograph orders at dispatch, which helps us resolve claims quickly and fairly. Claims reported after 5 working days, or for goods already used, further processed, sold on, or no longer in their original packaging, may not be accepted.
9. Returns and cancellations
Change-of-mind returns. Standard stock items may be returned within 14 days of receipt if unused and in their original, undamaged packaging, by prior written agreement. For collected returns we pick up on a route day at the applicable per-pallet rate for your region (see clause 6.2); return transport you arrange yourself is at your own cost.
Non-returnable. Made-to-order, customised and clearance items — and any item that is no longer in its original packaging or has been used — cannot be returned unless faulty.
Cancellations. Orders not yet dispatched can usually be cancelled or amended free of charge; once a pre-order has been placed with our factory, cancellation may not be possible.
10. Natural wood — character, not defects
Our furniture is made by hand from solid wood, principally mango and acacia. Variations in colour, grain, knots, filler and small dimensional differences are natural features of solid wood, not defects, and are not grounds for a claim. Reasonable care guidance is provided with the products; damage from misuse, unsuitable conditions or incorrect care is not covered.
11. Warranty and liability
We warrant that goods meet the agreed specification and normal trade quality, and we provide a 2-year warranty from delivery against manufacturing and material defects. The warranty does not cover the natural variation of solid wood (clause 10), fair wear and tear, or damage from misuse, unsuitable conditions or incorrect care. Our remedy for any valid claim is, at our choice, repair, replacement or credit of the affected goods, limited in any event to the invoice value of those goods. We are not liable for indirect or consequential loss (such as lost profit or lost resale), except where liability cannot be excluded by law.
12. Force majeure
We are not liable for delay or non-performance caused by events beyond our reasonable control, including shipping and container delays, customs, supplier or factory disruption, extreme weather, strikes or government measures. In such cases delivery times are extended accordingly.
13. Intellectual property and content
Product images, descriptions and other materials we provide remain our property (or our suppliers') and may be used by approved dealers solely to promote and resell Wood n More products. They may not be altered in a misleading way or used after an account ends.
14. Privacy
We process business contact and order data only to run the trading relationship, in line with the GDPR. We do not sell personal data. Our privacy statement on the website gives the detail.
15. Governing law and disputes
These terms and all agreements with Wood n More are governed by Dutch law. We'll always try to resolve any issue in good conversation first; failing that, disputes are submitted to the competent court in the Netherlands for our place of business.
